  LITIGATION AND TRANSACTIONAL MATTERS HANDLED:

A.  LITIGATION – SOME EXAMPLES OF LITIGATION HANDLED:

Represented land owner in lawsuit against  aTexas county for  improperly attempting to exact a  restrictive conditional overlay or deed restriction on his commercial project.

Represented a family association of 300 members in lawsuit against major oil companies for misuse of commercial property.

Represented, as lead counsel,   investor plaintiffs against attorney defendant/escrow agent in multi-jurisdictional multi-million dollar litigation for  breach of fiduciary duty, escrow fraud, and misrepresentation by attorney in a  major solar project; obtained substantial final judgment as well as non-dischargeability order in U.S. Bankruptcy Court.

Represented, as lead counsel, eight plaintiffs seeking damages against U.S. defendants (title company, real estate brokers,  sellers and attorney) for  real estate fraud, breach of fiduciary duty, and  state RICO; involved litigation in three jurisdictions, extensive discovery, U.S. depositions, also involved procedures under the Convention on the Taking of Evidence Abroad in Civil or Commercial Matters, “Hague Evidence Convention”; obtained significant recovery for clients.

Represented, as co-counsel,  investment group plaintiff against Seller of commercial real estate in matter which  involved fraud in real estate transaction and violation of Texas Deceptive Trade Practices Act for multi-million dollar 25  story commercial office building.

 Represented, as outside lead counsel, a Hong Kong plaintiff against Chinese defendants in series of multi-jurisdictional lawsuits in U.S., Hong Kong, and B.V.I. for investment fraud, breach of fiduciary duty, violation of shareholders/joint venture agreement (involved litigation, discovery, court ordered depositions, extensive hearings in Hong Kong and B.V.I.); obtained final judgment in favor of clients.

 Represented, as co-counsel, a European investment group plaintiff against U.S. and U.K. broker-defendants breach of contract and fraud litigation in U.S. against U.S. and foreign based yacht brokers; involved discovery and U.K. deposition per Hague Evidence Convention.

 Represented, as lead counsel,  U.S. plaintiff against U.S. defendant in matter which involved breach of constructive trust and breach of fiduciary duty  in regarding substantial real estate transaction and escrow issues.

 Represented  U.S. corporate defendant client, as corporate counsel,  in lawsuit brought by French corporate plaintiff;  International Chamber of Commerce Arbitration in Paris in a product liability matter involving destruction of a large warehouse facility; significant discovery, depositions and expert testimony.

Represented many  U.S. corporate clients, as corporate counsel,  in lawsuits involving products and services.

                                           B.  TRANSACTIONS – SOME EXAMPLES OF TRANSACTIONS HANDLED:

Matter:   Handled many large and small commercial real estate purchases and leases on behalf of project developers, owners,  landlords, and tentants.

Matter:  Developed over ten (10) multifamily units in City of Austin, including land use planning, zoning, design and financing.

Matter:  Worked with clients to complete commercial retail center, retail pad sites, including working with civil engineeering  and zoning consultants in Austin.

Matter:  Handled  many Texas condominium law issues and condominiumization of multi-family and retail shopping centers.

Matter:   Represented  several large  investor groups regarding purchase and sale  and zoning of multi-family, office buildings, land,  and residential real estate – including permitted uses and special uses.

Matter:   Handled all aspects of correct structures for purchases and sales of  real estate, including company structuring, international tax, due diligence, drafting and negotiating purchase and sale documents,   property leasing and management.

 Matter:   Liquid Natural Gas  processing plant – represented, as lead counsel, U.S. and European investor group; drafted and negotiated engineering procurement & construction agreement, joint venture & shareholder agreement, sale & leaseback agreement, purchase guarantee, and security agreements.

 Matter:  Combined Heat and Power Plant, 150 MW natural gas fired  (“CHP”) – Represented, as lead counsel,  Hong Kong  investor group;  drafted and negotiated:  engineering procurement & construction agreement, joint venture & shareholder  agreement,  take or pay PPA with purchase guarantee.

 Matter:   Energy, oil and gas production equipment, services, and technology and knowhow; represented, as corporate counsel,  major U.S. manufacturers and suppliers in a variety of  domestic and international purchase and sales transactions, licensing and distribution agreements.
